Set up of a dutch B.V. (GmbH)

Establishing process

To form a Company the Managing Director and the future Owner of the Company must come visit us in Kerkrade (N). Kerkrade is about 8 km to the north from Aachen (D). We will then accompany you to our Notary. The Notary will speak to you in german. The formation of the Company will take approximately 30 minutes. After the formation of the Company, it is immediately operational.

Usually the Company will be registered the same day into the Dutch commercial register. As soon as the commercial register number is given, we accompany you to a Bank in Kerkrade to open a Company Account. (Euro Account).

Subsequentley you can then drive home. The Tax number will usually be issued within 10 working days from the dutch debit service (Tax office). After receiving the Tax number we then apply for the EORI-Number (Customs number at EU level) for you.

We also can book a dutch Domain for you.

Of course we can take care of your Bookkeeping, Tax returns and Accounts. We are also happy to prepare your quotes and outgoing Invoices, and send these via Holland, Germany or via PDF-file to your Customers.

Your Company Headquarters would be based in Folkestone. Included in our Office rent is a dutch Telephone number with availability of transferring to your Number of choice.

Taxes Duties and ancillary wage costs

Corporation Tax: 20% (no trade tax etc)

Taxes: None

Ancillary wage costs: Calculation is based on net wages for wage tax, unemployment insurance Social insurance, national insurance (basic pension), industry related and wage related additional pensions (provision for old age)

The Employee pays for their Health insurance contributions. Employees that do not live in The Netherlands pay between 85.- € and 115.- € a month. A german-dutch Health insurance card already excists!

Business People that do not live in the EU, can live in The Netherlands after the Set up of a Dutch B.V.!

BPO has researched the following Possibilities:

1. Possibility

A Business Man that does not live in the European Union, for example a Turk, can apply at the Dutch Embassy in Turkey for a „residence permit for self-employed Business People.“ If he is the Manager and Shareholder of a B.V.

2. Possibility

Using an application form from the Dutch Immigration and Naturalization service, he must make an appointment to visit the IND. There he has to submit an extract from the commercial register of his previously founded B.V. along with his Passport.
